part of setting up a business abroad. Setting the formal
constitution helps protect the indemnity of the owner
of the business and decreases the risks associated with
starting a new businss.
Formation of a Mexican Corporation:
We understand that each company is unique and therefore
their strategies also must be specific to satisfy the
activities, vision, and future growth of the business.
The following are the legal ways in which the business
can be incorporated. The most frequent formation of
companies are as follows:
1. Joint Stock Company (C-corporation)
2. Limited Liability Company (This is the format most
preferred by foreign companies due to the similarity
to LLC abroad
3. Civil Society
Administration:
When creating a new company we must determine the value
of the shares, the responsibility of the shareholders
and their duty to the organization.
Prevention of Litigation:
There are many different areas a company may find themselves
involved in litigation. The great majority of the laws
that apply to business in Mexico are Federal and have
been established by congress. The Mexican government
has attempted to create an open and prosperous environment
in which to do business. Congress has attempted to mitigate
the potential for a litigious environment. That being
said it is extremely important to use a business lawyer
